– hereinafter referred to as “Travel Design Mallorca” or the “Provider” –
and its commercial customers – hereinafter referred to as the “Client”.
Travel Design Mallorca in particular offers consulting, concept development and support services in the field of sustainable wellness tourism, eco‑retreats, tourism concepts and related services.
The services are directed exclusively at entrepreneurs, companies, organizations and other commercial clients. These GTC therefore apply exclusively in the B2B context.
2. Subject Matter of the Contract
The subject matter of each contract is the services individually agreed between Travel Design Mallorca and the Client.
These may in particular include:
- Strategic consulting in the field of sustainable tourism and wellness offerings
- Conception and development of eco‑retreats
- Consulting on the development of sustainable tourism products
- Market, concept and potential analyses
- Development of positioning and marketing concepts
- Consulting on cooperations and tourism networks
- Project support and consulting
- Workshops, presentations and other consulting services
The specific scope of services results from the respective offer, the service description, the contract or any other written agreement.
As a rule, Travel Design Mallorca owes the agreed consulting and concept services, but not a specific economic success, unless such success has been expressly agreed in writing.
3. Conclusion of Contract
A contract is concluded when an offer made by Travel Design Mallorca is accepted by the Client.
Acceptance may be declared in writing, by email or in any other agreed form.
If no separate offer is prepared, the contract is concluded by the Client’s written commissioning and its confirmation by Travel Design Mallorca.
Changes or additions to the agreed scope of services require a corresponding agreement.
4. Client’s Duty to Cooperate
The Client undertakes to provide Travel Design Mallorca in good time and in full with all information, documents, access data and other content required for the performance of the assignment.
The Client is responsible for ensuring that the information and documents provided are correct and complete and may be used by Travel Design Mallorca within the scope of the assignment.
Delays resulting from late, incomplete or incorrect cooperation on the part of the Client shall not be borne by Travel Design Mallorca.
Agreed performance or completion dates shall be extended appropriately if the execution of the assignment is impaired by missing or delayed cooperation on the part of the Client.
5. Remuneration and Payment Terms
The amount of the remuneration results from the respective offer or the individual agreement.
Unless otherwise agreed, prices for entrepreneurs are understood to be exclusive of the applicable statutory value added tax.
Invoices are payable within the payment period stated on the invoice without deduction.
In the event of default in payment, Travel Design Mallorca is entitled to claim statutory default interest and, where applicable, further costs permitted by law.
For more extensive projects, Travel Design Mallorca may agree on reasonable advance payments or instalments.
6. Additional Services and Changes
Services that go beyond the originally agreed scope of services will only be provided after prior coordination with the Client.
Additional services may be charged separately.
Change requests by the Client which, after the start of service provision, lead to a significant additional workload may also be charged as additional services.
Where possible, Travel Design Mallorca will inform the Client of foreseeable additional costs before carrying out the additional work.
7. Deadlines and Force Majeure
Agreed deadlines will be met wherever possible.
In the event of circumstances beyond the control of Travel Design Mallorca, in particular force majeure, natural events, official measures, technical disruptions, failures of communication or IT systems or other unforeseeable events, agreed deadlines shall be extended appropriately.
If the provision of services becomes permanently impossible due to such circumstances, the statutory provisions shall apply.
8. Consulting Services and Client’s Responsibility
The information, recommendations, concepts and strategic assessments provided by Travel Design Mallorca are based on the information available at the respective time and are intended to support the Client in its entrepreneurial decisions.
The final decision on the implementation of recommendations, concepts or measures and their economic, legal and operational consequences lies with the Client.
Travel Design Mallorca does not assume any guarantee that the consulting will achieve a specific turnover, profit, booking success, occupancy rate, marketing or other economic success, unless this has been expressly agreed in writing.
Legal, tax or medical advice is not part of the services of Travel Design Mallorca, unless this has been expressly agreed and is legally permissible.
9. Copyright and Rights of Use
Concepts, presentations, texts, strategies, analyses, documents, graphics and other work results created by Travel Design Mallorca may be protected by copyright.
After full payment of the agreed remuneration, the Client generally receives a simple, non‑exclusive right of use limited to the contractual purpose agreed for the work results created specifically for the Client, unless otherwise agreed.
Disclosure to third parties, publication, editing or other commercial use beyond the agreed contractual purpose requires the prior consent of Travel Design Mallorca, insofar as this is legally permissible.
General methods, experience, ideas, concepts, know‑how and working techniques of Travel Design Mallorca remain the property of Travel Design Mallorca and may continue to be used for other clients even after termination of the contractual relationship, provided that no confidential information of the Client is used or disclosed.
10. Confidentiality
Both parties undertake to treat as confidential any confidential information that becomes known to them in the course of their cooperation and not to disclose it to unauthorized third parties without the consent of the respective other party.
This obligation shall continue to apply after termination of the contractual relationship, insofar as this is legally permissible.
Information shall not be deemed confidential if it is already publicly known, becomes publicly known without breach of contract, or was demonstrably already lawfully known prior to disclosure.
11. Liability
Travel Design Mallorca shall be liable in accordance with the statutory provisions for damages caused intentionally or by gross negligence.
For damages caused by slight negligence, Travel Design Mallorca shall only be liable insofar as a material contractual obligation has been breached and liability cannot be excluded by law.
Where a limitation of liability for slight negligence is legally permissible, liability shall be limited to the foreseeable damage typical for this type of contract.
The above limitations of liability shall not apply where mandatory statutory liability provisions conflict with them, in particular in the event of damage to life, body or health or in the case of an expressly assumed guarantee.
12. Liability for Content and External Information
Travel Design Mallorca endeavours to ensure the accuracy and timeliness of the information provided in the course of consulting.
However, no guarantee can be given for the completeness, timeliness or accuracy of information from third parties, market data, external sources or future developments.
The Client is responsible for independently reviewing essential information and recommendations, or having them reviewed by suitable professional advisors, before implementing them in a way that is economically or legally significant.
13. Termination of the Contract
The term and termination options are based on the respective individual agreement.
If no special provision has been made, the statutory provisions shall apply.
The right of both parties to extraordinary termination for good cause remains unaffected.
Services already rendered shall be remunerated in accordance with the agreed fees even in the event of premature termination of the contract, insofar as this is legally permissible.
14. Set‑Off and Right of Retention
The Client may only set off its own claims if they are undisputed or have been finally established by a court of law, or if set‑off is legally permissible.
A right of retention may only be exercised insofar as the counterclaim arises from the same contractual relationship and is legally permissible.
15. Data Protection
Travel Design Mallorca processes personal data in accordance with the applicable data protection regulations.
Further information on the processing of personal data can be found in the privacy policy on the Travel Design Mallorca website.
16. Applicable Law
The contractual relationship between Travel Design Mallorca and the Client is governed by the law of the Kingdom of Spain, insofar as this is legally permissible.
Mandatory statutory provisions of the country in which the Client has its habitual residence remain unaffected, insofar as their application is legally required.
The UN Convention on Contracts for the International Sale of Goods (CISG) does not apply.
17. Place of Jurisdiction
Where legally permissible and both parties are entrepreneurs, the place of jurisdiction for all disputes arising from or in connection with the contractual relationship shall be the registered office of Travel Design Mallorca in Spain.
Mandatory statutory places of jurisdiction remain unaffected.
18. Final Provisions
Amendments and additions to the respective contract should be made in text form for evidentiary purposes.
Should individual provisions of these GTC be or become wholly or partially invalid, the validity of the remaining provisions shall not be affected. In place of the invalid provision, the statutory regulations shall apply.
